Terms of Service

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a legally binding agreement between you and Sterix Research LLC, a California limited liability company (“Sterix,” “we,” “us,” or “our”) governing your access to and use of sterixcorp.com (the “Site”) and every purchase you make from us. By creating an account, accessing the Site, ticking an agreement box, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms, our Research Use Policy, and our Privacy Policy, each of which is incorporated into these Terms by reference.

If you do not agree to every part of these Terms, you may not use the Site or purchase any product.

Please read Section 25 (Dispute Resolution and Arbitration) carefully. It requires most disputes to be resolved through individual binding arbitration and waives your right to a jury trial and to take part in a class action, unless you opt out as described there.

2. Definitions

• “Products” means all research peptides, compounds, chemicals, reagents, and related materials offered on the Site.
• “Order” means a request to purchase Products submitted through the Site.
• “Research Use” means in-vitro laboratory research, analysis, or experimentation conducted by qualified individuals, and expressly excludes any use in or on humans or animals.
• “You” means the individual using the Site and, if you act on behalf of an organization, that organization.

3. Eligibility and Your Representations

To use the Site or buy Products, you represent and warrant that:

• you are at least 21 years old and have the legal capacity to enter into a binding contract;
• you are a qualified researcher, or are acting on behalf of a qualified research organization, with the training, facilities, and knowledge needed to handle research chemicals safely;
• you will use the Products only for lawful Research Use;
• you are not purchasing Products for human or animal consumption, for resale to anyone for that purpose, or for any illegal purpose;
• your purchase, possession, and use of the Products is lawful where you are located and where the Products will be delivered; and
• all information you give us is true, accurate, current, and complete.

We may ask for proof of age, identity, or research qualifications at any time, and may refuse, cancel, or hold any Order until we receive it.

4. Accounts and Security

A registered account is required to view Products and place Orders. You are responsible for keeping your login details confidential and for all activity under your account, whether or not you authorized it. Tell us immediately at [email protected] if you suspect unauthorized use. You may not share, sell, or transfer your account. We may suspend or close any account at our sole discretion, including if we believe it has been used in violation of these Terms.

5. Research Use Only

All Products are sold strictly for Research Use. Products are not drugs, foods, dietary supplements, cosmetics, or medical devices. They have not been approved or evaluated by the U.S. Food and Drug Administration or any other regulatory authority, and are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.

You agree that you will not, and will not allow anyone else to:

• use any Product in or on a human or animal, including by ingestion, injection, inhalation, insertion, or topical application;
• use any Product for diagnostic, therapeutic, cosmetic, athletic-performance, or veterinary purposes;
• repackage, relabel, compound, or resell any Product for any of those purposes, or represent any Product as fit for them; or
• remove or obscure any “research use only” labeling.

Names used on the Site and labels, including abbreviations and code names, identify research materials only and do not suggest any use, effect, or benefit.

6. No Medical, Dosing, or Usage Advice

Sterix does not provide, and nothing on the Site or in any communication from us is, medical, pharmaceutical, dosing, reconstitution-for-administration, or usage advice. We will not answer questions about using any Product in humans or animals. Any information on the Site about a compound, including sequence, formula, molecular weight, or published research, is provided for identification and scientific reference only.

7. Product Information and Certificates of Analysis

We try to describe Products accurately, but we do not warrant that descriptions, specifications, images, or other content are complete, current, or error-free. Images, including product renderings, are for illustration and may differ from the Products you receive. Certificates of analysis (“COAs”) report results for the specific lot tested by the stated laboratory, are provided for information only, and are not a guarantee of results in your own testing. Variation between lots and testing methods is normal.

8. Handling, Storage, and Safety

Products may be hazardous if mishandled. You are solely responsible for inspecting Products on delivery and for their safe handling, storage (including temperature and light requirements), labeling, use, and disposal in line with all applicable laws, regulations, and accepted laboratory safety practices. Sterix is not responsible for any degradation, contamination, or loss that occurs after delivery.

9. Orders, Acceptance, and Our Right to Refuse

Your Order is an offer to buy. An order confirmation email confirms we received your Order; it is not acceptance. Acceptance happens only when we ship the Products. We may, at our sole discretion and without giving a reason, refuse, cancel, or limit any Order or quantity, including where:

• any communication, order note, account detail, or other information suggests a use other than Research Use;
• we suspect fraud, unauthorized payment, or a violation of these Terms;
• a Product is unavailable, or was listed with an error in price, description, or availability; or
• shipping to the delivery address is not permitted or not supported.

If we cancel an Order after payment has been taken, we will return the amount charged for the cancelled items to your original payment method. That is your only remedy for a cancelled Order.

10. Pricing and Taxes

All prices are in U.S. dollars and may change at any time without notice. Prices do not include shipping or applicable taxes unless stated. You are responsible for all sales, use, and similar taxes, duties, and charges that apply to your Order. If a Product is listed at an incorrect price, we may cancel any Order for it even after confirmation.

11. Payment

Payment is due in full at checkout. You represent that you are authorized to use the payment method you provide and authorize us and our payment processors to charge it for the full Order amount. Orders may be screened for fraud and may be delayed or cancelled as a result. Charges may appear on your statement under a name other than “Sterix.” Any failed or reversed payment may result in cancellation of your Order and account.

12. Promotions, Discount Codes, and Rewards Points

• Discount codes, newsletter welcome codes, and reward codes have no cash value, cannot be exchanged for cash or credit, apply only as stated, and may expire. Newsletter welcome codes are limited to one per person and to a first Order, and expire 30 minutes after sign-up unless stated otherwise.
• Rewards points are a promotional benefit, not property, currency, or a stored-value account. Points are earned at the rate shown on the Site on Product totals after discounts, excluding shipping and taxes, and are added when an Order is completed. Points are removed if the related Order is cancelled, reversed, or charged back.
• Points and codes cannot be sold, transferred, or combined with other offers unless we say so. We may change, suspend, or end any promotion or the rewards program, and may adjust or cancel points or codes obtained through error, fraud, abuse, multiple accounts, or a breach of these Terms, at any time without liability.

13. All Sales Are Final: No Refunds, Returns, or Exchanges

ALL SALES ARE FINAL. STERIX DOES NOT ACCEPT RETURNS AND DOES NOT ISSUE REFUNDS, CREDITS, OR EXCHANGES FOR ANY REASON, including change of mind, ordering the wrong Product or quantity, no longer needing a Product, dissatisfaction with research results, delays caused by the carrier, or refusal of delivery. Because Products are sensitive research materials whose integrity cannot be verified once they leave our control, returned Products cannot be accepted or resold.

The only exceptions are set out in Section 14 (replacement of damaged, incorrect, or missing items) and Section 9 (cancellation by us). You confirm that this policy was clearly displayed to you before purchase and that you accepted it by ticking the required box at checkout.

14. Damaged, Incorrect, or Missing Items

If your Order arrives physically damaged, contains the wrong Product, or is missing a Product, you must email [email protected] within 48 hours of delivery (as shown by the carrier’s tracking) with your order number, a description of the problem, and clear photos of the shipping package, packing materials, labels, and Products. Products must not have been opened, reconstituted, or used.

If we confirm the problem, we will, at our option, ship a replacement of the affected Product or, if a replacement is unavailable, issue store credit for it. Replacement or store credit is your sole and exclusive remedy, and we do not issue cash refunds. Claims made after 48 hours, without the required photos, or for Products that have been opened or used will be denied. We may require you to return the item at our expense before sending a replacement.

15. Shipping, Title, and Risk of Loss

• We ship only to addresses in the United States. You are responsible for entering a complete and correct shipping address. We are not responsible for Orders delivered to an address you provided, and re-shipping costs for address errors are your responsibility.
• Delivery times are estimates and not guaranteed. We are not liable for delays caused by carriers, weather, or events outside our control.
• Title to Products and risk of loss pass to you when we hand the Order to the carrier. An Order marked “delivered” by the carrier is considered delivered. For packages marked delivered but not received, or lost in transit, we will provide tracking information and reasonably help with a carrier claim, but we are not obligated to replace or refund the Order.
• You are responsible for complying with all laws that apply to receiving and possessing the Products at the delivery address.

16. Payment Disputes and Chargebacks

You agree to contact us at [email protected] and give us at least 10 business days to resolve any problem with an Order before disputing a charge with your bank or card issuer. Filing a chargeback or payment dispute for an Order that was shipped as described is a breach of these Terms. If you do so, we may:

• contest the dispute and provide your card issuer with evidence, including your account details, order records, tracking and delivery confirmation, IP addresses, and the dates and times you accepted these Terms and the Research Use Policy;
• cancel any open Orders, remove rewards points, and permanently close your account; and
• to the extent permitted by law, recover the disputed amount and reasonable costs of collection.

17. Prohibited Conduct

You agree not to:

• use the Site or any Product for any unlawful purpose or in violation of these Terms;
• post, send, or publish any review, testimonial, comment, or communication describing or promoting the use of any Product in humans or animals, or attribute such statements to Sterix;
• provide false information, impersonate anyone, or create multiple accounts to obtain promotions;
• resell Products, or use Sterix’s name, logos, images, or content to sell or promote any product, without our written permission;
• use bots, scrapers, or other automated tools to access the Site or collect data from it;
• interfere with, disrupt, probe, or attempt to bypass the security of the Site, including Cloudflare protections or account access controls; or
• upload or transmit viruses or other malicious code.

18. Intellectual Property

The Site and all of its content, including the Sterix name, logos, product images, label designs, text, graphics, and software, are owned by or licensed to Sterix and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to view the Site for personal, non-commercial use in line with these Terms. Any other use requires our prior written permission.

19. Communications and Feedback

Anything you send us, including emails, order notes, and feedback, may be retained and used by us for any lawful purpose, including to enforce these Terms and to evaluate whether an Order may be fulfilled. You agree not to send us confidential information.

20. Third-Party Services and Links

The Site uses third-party services, such as payment processors, shipping carriers, testing laboratories, and security providers, and may link to third-party websites. We are not responsible for their content, policies, or actions, and your use of them is at your own risk and subject to their terms.

21. Assumption of Risk and Release

You understand that research chemicals can be hazardous, and you knowingly and voluntarily assume all risks arising from your purchase, receipt, possession, handling, storage, use, misuse, or disposal of the Products. To the fullest extent permitted by law, you release Sterix and its owners, officers, employees, agents, suppliers, and affiliates from all claims, demands, and damages of every kind, known or unknown, arising out of or related to the Products or these Terms.

If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar law in any other jurisdiction.

22. Indemnification

You agree to defend, indemnify, and hold harmless Sterix and its owners, officers, employees, agents, suppliers, and affiliates from and against any and all claims, liabilities, damages, judgments, losses, costs, fines, penalties, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your purchase, handling, use, misuse, resale, or disposal of any Product; (b) any use of a Product in or on a human or animal by you or anyone who obtained it from you; (c) your breach of these Terms, the Research Use Policy, or any representation you made; (d) your violation of any law or the rights of any third party; or (e) any information you provided. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with our defense.

23. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN SECTION 14, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, STERIX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that Products will meet your requirements or produce any particular research result, or that the Site will be uninterrupted, secure, or error-free. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

24. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) STERIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, RESEARCH, OR GOODWILL, OR FOR ANY PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM ANY USE OF PRODUCTS IN VIOLATION OF THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) STERIX’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE, ANY PRODUCT, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM. These limits apply whatever the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

25. Dispute Resolution and Arbitration

Informal resolution first. Before starting any formal proceeding, you agree to email [email protected] with a description of your claim and try in good faith to resolve it with us for at least 30 days.

Binding individual arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to the Site, any Product, any Order, or these Terms (including their formation, scope, or validity) will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in San Diego County, California, or by video conference, and judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section.

Class action and jury trial waiver. You and Sterix each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. You and Sterix each waive the right to a jury trial. The arbitrator may not consolidate claims of more than one person.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect its intellectual property. Nothing in this Section waives any right to seek public injunctive relief to the extent that right cannot be waived under applicable law.

30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and your full name and account email. Opting out does not affect any other part of these Terms.

If the class action waiver is found unenforceable for any claim, that claim must be decided by a court and not in arbitration, and all other claims will remain in arbitration.

26. Governing Law and Venue

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to Section 25, any action that may be brought in court must be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to their personal jurisdiction. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

27. Suspension and Termination

We may suspend or terminate your access to the Site or your account, cancel open Orders, and forfeit rewards points at any time, with or without notice, for any reason, including any actual or suspected breach of these Terms. Sections that by their nature should survive termination, including Sections 5, 6, 13 through 16, and 21 through 31, will survive.

28. Events Beyond Our Control

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, extreme weather, carrier or supplier failures, labor disputes, internet or utility outages, cyberattacks, pandemics, acts of government, or changes in law or regulation.

29. Electronic Records and Signatures

You agree that ticking a box, clicking a button, or otherwise accepting these Terms electronically is your legally binding signature and has the same effect as a handwritten signature. You consent to receive all agreements, notices, and other communications from us electronically. We keep records of your acceptance, including the date, time, and IP address, and you agree those records may be used as evidence of your agreement.

30. General Terms

• Entire agreement. These Terms, the Research Use Policy, and the Privacy Policy are the entire agreement between you and Sterix about their subject matter and replace any earlier agreements or communications.
• Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms will remain in full effect.
• No waiver. Our failure to enforce any right is not a waiver of it.
• Assignment. You may not assign or transfer these Terms. We may assign them without restriction, including in connection with a sale or reorganization of our business.
• No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
• Headings. Headings are for convenience only and do not affect interpretation.

31. Changes to These Terms

We may update these Terms at any time by posting a revised version on this page and updating the date at the top. Changes apply to Orders placed and use of the Site after they are posted. The version in effect when you place an Order applies to that Order. Continuing to use the Site after changes are posted means you accept them.
